The agreement between Yapa and the people who use it — stated plainly, so both sides understand what we owe each other.
These Terms of Use form a binding agreement between you and Ony Group Ltd. ("Yapa", "we", "our") governing your use of yapahub.com and the Yapa platform (together, the "Service"). By accessing or using the Service, you agree to these terms. If you do not agree, please do not use the Service.
You may use Yapa if you are at least 18 years old and have the legal capacity to enter this agreement. If you use the Service on behalf of an organization, you represent that you have the authority to bind it.
Access to the Service may be invitation-only during certain periods. We reserve the right to decline or revoke access where we believe the relationship does not serve either party.
You are responsible for the accuracy of information you give us and for everything done through your account. Keep credentials secure; tell us promptly if you suspect unauthorized use.
You may close your account at any time. We may suspend or close accounts that breach these terms or pose a risk to the Service or its users.

You retain ownership of the data and content you submit to Yapa ("Your Content"). You grant us a limited, non-exclusive licence to host, process, and display Your Content solely to operate the Service and deliver features you have requested.
You are responsible for Your Content, including its legality and accuracy. We do not review it routinely, but we may remove material that violates these terms or applicable law.
Where the Service is offered for a fee, prices and billing terms are presented at the point of subscription. Fees are non-refundable except where required by law or stated in a separate agreement with us. You are responsible for any applicable taxes.
We will give you reasonable notice of material price changes.
The Service — including its software, design, trademarks, and written content — is owned by Ony Group Ltd. or its licensors. We grant you a limited, non-transferable right to use the Service in accordance with these terms. Nothing here transfers intellectual property to you.
"Yapa", "Machant", "Hapa Kule", "Kaya", and "Ndonga" are trademarks of Ony Group Ltd.
We work to keep the Service available and reliable, but we do not guarantee uninterrupted operation. Maintenance, upgrades, and unforeseen events may cause downtime.
We may change the Service over time — adding, modifying, or retiring features. Where changes materially affect your use, we will give you reasonable notice.
Either party may end this agreement with reasonable notice. We may suspend or terminate your access immediately if you breach these terms in a way that harms the Service or other users.
On termination, your right to use the Service ends. We will give you a reasonable period to export Your Content, after which we will delete it in accordance with our Privacy Policy.
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or meet your specific requirements.
To the maximum extent permitted by law, our total aggregate liability to you under or in connection with this agreement will not exceed the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) ten thousand Kenyan shillings (KES 10,000).
We will not be liable for indirect, consequential, or special losses, including loss of profits, revenue, data, or goodwill, even if advised of their possibility.
Nothing in these terms excludes liability that cannot be excluded by law — including liability for death or personal injury caused by negligence, or for fraud.
You agree to indemnify and hold Yapa and its affiliates harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the Service, or your violation of any law or third-party right.
These terms are governed by the laws of the Republic of Kenya. The courts of Kenya have exclusive jurisdiction over any dispute, except where mandatory consumer protection laws in your country of residence apply.
Before filing any formal claim, you agree to contact us at legal@yapahub.com so we can attempt to resolve it in good faith.
Entire agreement. These terms, together with the Privacy Policy, form the entire agreement between us regarding the Service.
Severability. If any provision is held unenforceable, the remainder will continue in effect.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these terms without our consent. We may assign them to a successor of the business.
Updates. We may revise these terms. Material changes will be announced on this page and, where appropriate, by email.
